Factory Constitution Protocol
[D] Pre-launch infrastructure design. Factory is a constitution and membership protocol, not a buyer product. Nothing here proves a live factory, deployed DAV, custody system, or economic rail.
Factory stages an unsigned constitution and membership proposal for a new organism. Genesis establishes only the adopted constitution and membership. It does not establish or authorize custody, equity, credit, agents, deployment, treasury action, or any later consequence.
Access is not rent
Constitution and membership access never requires Skyzai Work and is never paywalled behind a commercial package. After a DAV is independently constituted, Skyzai Work may price optional operation, support, or implementation labour. It cannot charge for the DAV's existence, constitution, or membership.
Review trigger, not authority
An R6 or transaction-volume threshold may open a review of a staged proposal. It does not approve genesis and does not authorize any later act. Each later consequence needs its own complete valid exact-consequence receipt. When an external Legal Person must act, it also needs lawful external authority and all officers, signatories, custodians, and executors required by jurisdiction. Counsel review is conditional on the act and jurisdiction; counsel is not a standing signer or universal gate.
Public-DAV boundary
Every public-DAV consequence requires a complete valid bound PRISM decision receipt in which at least two natural-person councilors bind that exact consequence. PRISM records and verifies the receipt only; it never signs, authorizes, acts, or executes. AI, agents, and software may deliberate, simulate, and stage unsigned proposals only. Constitution, membership, policy, or adoption may constrain a proposal but never authorizes a later consequence. The public DAV has no K2 runtime requirement, bootstrap, or fallback. Deterministic software may carry out only the exact consequence already bound by the valid receipt.
